These Terms and Conditions (“Terms”) govern your access to and use of the website at iceteam.ai (the “Website”) and the products and services provided by ICE Team (“ICE Team”, “we”, “us”, or “our”) — including our SaaS products, custom and outsourced software development, and games (together, the “Services”).
By accessing the Website or using any Service, you agree to be bound by these Terms. If you do not agree, do not use the Website or the Services.
1. Scope and order of precedence
These Terms apply across the Website and all ICE Team Services, to provide a single, consistent standard.
Certain Services are governed by separate written agreements — for example, a master services agreement, statement of work, order form, or product-specific terms (for SaaS subscriptions or custom development). Where such an agreement exists and conflicts with these Terms, that agreement prevails for the relevant Service. In all other cases, these Terms apply.
2. Eligibility
You must be at least 18 years old, or the age of majority in your jurisdiction, and able to form a binding contract to use the Services. If you use the Services on behalf of an organization, you represent that you are authorized to bind that organization to these Terms.
3. Accounts
Some Services require an account. You are responsible for the accuracy of your registration details, for keeping your credentials secure, and for all activity under your account. Notify us promptly of any unauthorized use. We may suspend or terminate accounts that breach these Terms.
4. Acceptable use
You agree not to:
- Use the Services unlawfully or for any unlawful, infringing, or fraudulent purpose;
- Disrupt, overload, or attempt to gain unauthorized access to the Services, systems, or networks;
- Reverse engineer, copy, or create derivative works of the Services except as permitted by law or a written agreement;
- Upload malware, or content that is illegal, defamatory, or infringes third-party rights;
- Resell or commercially exploit the Services without our written consent.
We may investigate and take appropriate action, including suspending or terminating access, for any suspected breach.
5. Custom and outsourced development
Engagements for bespoke or outsourced software are defined in a separate statement of work or agreement covering scope, timeline, fees, acceptance, and the assignment of deliverables. Unless that agreement states otherwise:
- Ownership of custom deliverables transfers to you upon full payment;
- We retain ownership of our pre-existing materials, tools, know-how, and reusable components, and grant you a license to use them as needed to use the deliverables.
6. SaaS products and subscriptions
Where a Service is provided on a subscription basis:
- Fees, billing cycles, and renewal terms are set out at purchase or in your order;
- Unless stated otherwise, subscriptions renew automatically until cancelled, and fees are non-refundable except as required by law;
- We may modify features over time and will give reasonable notice of material adverse changes;
- We aim for high availability but do not guarantee uninterrupted service.
7. Games and digital content
For our games and digital content, any virtual items, currencies, or in-game content are licensed, not sold, and have no monetary value outside the game. We may modify, suspend, or discontinue games or content, subject to applicable law.
8. Fees and payment
You agree to pay all applicable fees and taxes for the Services you purchase. Late or failed payments may result in suspension. Quotes and estimates are valid only for the period stated and may change if scope changes.
9. Intellectual property
The Website and the Services, including our software, designs, text, graphics, logos, and trademarks, are owned by ICE Team or our licensors and are protected by intellectual property laws. Except for rights expressly granted to you in these Terms or a written agreement, no rights are transferred. You may not use our trademarks or branding without our prior written consent.
10. Third-party services
The Services may rely on, link to, or integrate with third-party products and services that we do not control. Your use of them is subject to their terms, and we are not responsible for them.
11. Confidentiality
Where the parties exchange non-public information in connection with a Service, each party will protect the other’s confidential information and use it only for the purposes of the engagement, as further detailed in any applicable agreement.
12. Disclaimer of warranties
To the maximum extent permitted by law, the Website and the Services are provided “as is” and “as available”, without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Services will be uninterrupted, error-free, or secure. This section does not exclude warranties that cannot be excluded under applicable law.
13. Limitation of liability
To the maximum extent permitted by law, ICE Team and its team, partners, and suppliers will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising out of or relating to your use of the Website or the Services.
To the maximum extent permitted by law, our total aggregate liability for any claim relating to the Website or the Services is limited to the amount you paid to us for the relevant Service in the twelve (12) months before the event giving rise to the claim (or, where no amount was paid, USD 100).
Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law.
14. Indemnification
You agree to indemnify and hold harmless ICE Team and its team from any claims, damages, liabilities, and reasonable expenses (including legal fees) arising from your breach of these Terms, your misuse of the Services, or your violation of any law or third-party right.
15. Term and termination
These Terms apply while you use the Website or the Services. We may suspend or terminate your access at any time if you breach these Terms or to protect the Services, our users, or third parties. Provisions that by their nature should survive termination (including Sections 9, 12, 13, 14, and 16) will survive.
16. Governing law and disputes
These Terms are governed by the laws of the jurisdiction in which ICE Team is established, without regard to conflict-of-laws rules. The courts of that jurisdiction will have exclusive jurisdiction over any dispute, unless a separate agreement provides otherwise or mandatory local law requires another forum.
17. Changes to these Terms
We may update these Terms from time to time. The “Last updated” date reflects the latest version, and we will provide additional notice of material changes where required. Your continued use of the Website or the Services after changes take effect means you accept the revised Terms.

Your use of the Website and the Services is also governed by our Privacy Policy, which explains how we handle personal information.
